Terms of Use

Please read these Terms of Use (“Terms”) carefully before using the Payleute website (the “Service”), operated by Payleute UG (haftungsbeschränkt), Franz-Volk-Str. 60, 77652 Offenburg, Germany.

By accessing or using the Service, you agree to be bound by these Terms. These Terms apply to all visitors and users of the Service. If you disagree with any part of these Terms, you may not access the Service.

Scope of these Terms

These Terms govern your use of the Payleute website only. They do not constitute the terms of any service agreement. Any payroll, Employer-of-Record, or HR services provided by Payleute are governed by a separate written agreement and Payleute’s applicable service terms, agreed individually with each client.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Payleute UG (haftungsbeschränkt). The content of this website may not be reproduced, distributed, or otherwise used without our prior written consent, except as permitted by applicable law.

Links to Other Websites

Our Service may contain links to external websites or services operated by third parties that are not owned or controlled by Payleute. Payleute has no control over, and accepts no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Payleute shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content available on or through any third-party websites or services. We advise you to review the terms and privacy policies of any third-party websites you visit.

Limitation of Liability

The content on this website is provided for general information purposes only. While we endeavour to keep it accurate and up to date, Payleute makes no warranties as to the completeness, accuracy, or reliability of the website content, and any reliance you place on it is at your own risk. Payleute’s liability is governed by German law. Nothing in these Terms excludes or limits our liability for intent or gross negligence, or for injury to life, body, or health. Liability for slight negligence exists only in the event of a breach of a material contractual obligation and is limited to the foreseeable, typical damage.

Indemnification

You agree to defend, indemnify, and hold harmless Payleute and its representatives from and against any claims, damages, or expenses arising out of (a) your use of the Service, (b) your breach of these Terms, or (c) content you post on the Service, except to the extent such claims result from Payleute’s own intent or gross negligence.

Termination

We may suspend or terminate your access to the Service at any time, without prior notice, if you breach these Terms. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and limitations of liability — shall survive.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time. Where a change is material, we will endeavour to provide reasonable notice before it takes effect. By continuing to use the Service after changes take effect, you agree to be bound by the revised Terms.

Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Should any provision of these Terms be held invalid or unenforceable, the remaining provisions shall remain in effect.
